# Vendor Terms & Conditions

Welcome to the Githouse Vendor Partner Program.
These Vendor Terms & Conditions govern the relationship between Githouse and vendors, service providers, resellers, technology partners, and other business partners using or offering services through the Githouse WhatsApp Business Platform.
By registering as a vendor or partner with Githouse, you agree to comply with these Terms & Conditions.
## 1. Vendor Partnership Overview
Githouse provides a WhatsApp Business Platform that enables businesses to manage customer communication, WhatsApp campaigns, automation, and engagement solutions.
Vendors may use the Githouse platform to provide approved services, solutions, or customer support offerings, subject to these Terms.
## 2. Vendor Eligibility
Vendors must:
* Be a legally registered business or authorised representative.
* Provide accurate business information during registration.
* Have the necessary rights and permissions to offer their products or services.
* Comply with applicable local, national, and international laws.
## 3. Vendor Responsibilities
Vendors are responsible for:
* Maintaining accurate account and business information.
* Ensuring all customer data shared or managed through the platform is collected legally.
* Providing quality services to their customers.
* Maintaining confidentiality of customer information.
* Ensuring their employees, agents, and representatives follow these Terms.
## 4. Acceptable Use Policy
Vendors shall not:
* Send spam, unsolicited, or abusive messages.
* Use purchased, scraped, or unauthorised contact databases.
* Send fraudulent, misleading, illegal, or harmful content.
* Violate WhatsApp Business Messaging Policies.
* Misrepresent Githouse services or branding.
* Attempt to bypass platform security or usage restrictions.
* Upload malicious files, software, or harmful content.
## 5. WhatsApp Business Compliance
Vendors must ensure that all messaging activities comply with:
* WhatsApp Business Messaging Policies.
* Meta platform guidelines.
* Applicable data protection and communication laws.
Any violation may result in immediate suspension or termination of vendor access.
## 6. Customer Data Responsibility
Vendors are responsible for:
* Obtaining proper customer consent before communication.
* Protecting customer data from unauthorised access.
* Using customer information only for approved business purposes.
* Following applicable privacy and data protection regulations.
Githouse shall not be responsible for misuse of customer data by vendors.
## 7. Payments, Credits & Commissions
* Vendor subscriptions, platform fees, credits, or service charges shall be as per the applicable pricing agreement.
* Payments made to Githouse are non-refundable unless otherwise agreed in writing.
* Any commission or revenue-sharing arrangement will be governed by separate agreements between Githouse and the vendor.
* Vendors are responsible for all applicable taxes and financial obligations related to their business activities.
## 8. Platform Usage & Availability
Githouse will make reasonable efforts to provide reliable platform access.
However:
* Continuous or uninterrupted availability is not guaranteed.
* Platform features may be updated, modified, or discontinued.
* Service availability may depend on third-party providers, including WhatsApp/Meta services.
## 9. Vendor Account Security
Vendors are responsible for:
* Maintaining confidentiality of login credentials.
* Preventing unauthorised account access.
* All activities performed through their vendor account.
Any suspicious activity must be immediately reported to Githouse.
## 10. Suspension & Termination
Githouse reserves the right to suspend or terminate vendor accounts if:
* The vendor violates these Terms.
* The vendor violates WhatsApp or Meta policies.
* Fraudulent or abusive activities are detected.
* The vendor damages Githouse's reputation or platform integrity.
## 11. Intellectual Property Rights
All Githouse trademarks, software, technology, platform features, and related materials remain the property of Githouse.
Vendors may not copy, modify, distribute, or use Githouse intellectual property without written permission.
## 12. Limitation of Liability
Githouse shall not be liable for:
* Loss of business opportunities.
* Indirect or consequential damages.
* Customer disputes arising from vendor activities.
* Third-party service interruptions.
## 13. Confidentiality
Vendors agree to keep confidential all business information, customer data, technical details, pricing information, and platform-related information received from Githouse.
## 14. Changes to Vendor Terms
Githouse reserves the right to update these Vendor Terms & Conditions at any time.
Continued use of the platform after changes indicates acceptance of the updated terms.
